Terms of Service

Rules and conditions for using ChatWork, including accounts, plans, plugins, AI features, and your content.

Applies to localhost:3000/ and our Privacy Policy.

1. Agreement to these Terms

These Terms of Service ("Terms") are a binding agreement between you and ChatWork ("ChatWork," "we," "us," or "our"). They govern access to our website, personal workspaces (including per-user subdomains), chat, plugins, billing, and related services (collectively, the "Service").

By creating an account, signing in, or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

2. Eligibility

You must be old enough to form a binding contract in your jurisdiction and not barred from using the Service under applicable law. The Service is not intended for children under 13 (or the minimum age in your country).

3. Accounts & security

You may sign in using methods we support (such as Google OAuth, email one-time codes, passkeys, or SMS where enabled). You must provide accurate information and keep credentials secure. You are responsible for activity under your account.

Notify us promptly if you suspect unauthorized access. We may require additional verification for sensitive actions such as billing changes or account deletion.

4. The Service

Depending on your plan, the Service may include:

  • Chat & models: AI-assisted conversations with model access and usage limits that vary by Free, Pro, and Max.
  • Plugins & skills: Built-in tools (such as files, web, canvas, spreadsheet, slides) and connectable third-party integrations, subject to tier availability.
  • Space & memory: File storage in your workspace Data Space and optional saved memory, within plan limits shown in Settings.
  • Goals & routine: Planning and scheduled routine work where enabled on your plan.
  • Settings: Profile, security, billing, connected accounts, and plugin management.

Features, models, and limits may change as we improve the product. Published plan caps on the pricing page and in Settings apply. We may offer beta or experimental features that are provided as-is and may change or be discontinued.

5. Subscriptions, billing & cancellation

We offer Free, Pro, and Max plans. Paid subscriptions renew monthly or yearly until you cancel in Settings → Billing. Prices, taxes, and currency are shown at checkout and on the pricing page.

Payments are processed by Stripe. We do not store full payment card numbers. Failed payments may result in downgrade or loss of paid features after notice where required.

You may upgrade, downgrade, or cancel according to the flows in Settings. Downgrades take effect at the end of the current billing period unless stated otherwise. Availability of paid plans may be limited (for example when Pro or Max is marked sold out).

Except where required by law, fees are non-refundable once a billing period has started. If you believe a charge is incorrect, contact support before disputing with your bank.

6. Plugins & third-party services

When you connect a third-party app, you authorize ChatWork to exchange data needed to run your requests (typically via OAuth or similar). Third-party services have their own terms and privacy policies; you are responsible for complying with them and for the permissions you grant.

We do not control third-party services and are not liable for their acts or omissions. You can disconnect plugins from Settings at any time.

7. Your content

You represent that you have the rights needed to submit content and that your content does not violate these Terms or applicable law. You must not submit confidential information of others without permission.

You retain ownership of your contentYou retain rights to prompts, chats, uploads, and artifacts you create. You grant ChatWork a limited license to host, process, and transmit your content solely to operate and improve the Service (including sending inference requests to model providers). See our Privacy Policy for data handling and deletion options.

8. Our intellectual property

ChatWork and its logos, software, documentation, and design are owned by ChatWork or its licensors and are protected by intellectual property laws. Except for the limited rights to use the Service under these Terms, no license is granted to you.

9. Feedback

If you send ideas, suggestions, or feedback, you grant us a perpetual, royalty-free license to use them without obligation to you. Do not submit feedback you wish to keep confidential.

10. Acceptable use

You agree not to:

  • Violate law or infringe others’ rights, including intellectual property and privacy.
  • Upload malware, spam, or content that is harassing, hateful, or exploitative.
  • Attempt unauthorized access, scrape the Service in violation of our rules, or abuse rate limits.
  • Reverse engineer or circumvent security except where permitted by law.
  • Use the Service to develop competing models or services using unauthorized extraction of outputs at scale.
  • Misrepresent AI-generated content as solely human where disclosure is legally required.

We may investigate violations and suspend or terminate accounts, remove content, or report activity to authorities when appropriate.

11. AI features & limitations

Outputs from AI features may be inaccurate, incomplete, or outdated. You are responsible for reviewing results before relying on them for financial, legal, medical, safety-critical, or other high-stakes decisions.

The Service is not a substitute for professional advice. Model behavior may change as providers update their systems.

12. Suspension & termination

You may stop using the Service and delete your account according to in-product flows or by contacting support.

We may suspend or terminate access if you breach these Terms, pose a security risk, or if we discontinue the Service. Where reasonable, we will provide notice. Provisions that by nature should survive (including disclaimers, limitations of liability, and dispute terms) will survive termination.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHATWORK AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

15. Indemnification

You will defend, indemnify, and hold harmless ChatWork from claims, damages, and expenses (including reasonable legal fees) arising from your content, your use of the Service, or your violation of these Terms or applicable law.

16. Governing law & disputes

These Terms are governed by the laws of the jurisdiction where ChatWork is established, without regard to conflict-of-law rules, except where consumer protection laws in your country require otherwise.

Before filing a formal dispute, contact us to try to resolve the issue informally. Where permitted, disputes will be resolved in the courts of that jurisdiction, unless applicable law requires a different forum.

17. Changes to these Terms

We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. Material changes may be communicated by email or in-product notice. Continued use after changes become effective means you accept the updated Terms.
